1. Acceptance of Terms

By accessing and using Elevex AMC, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our service.

2. Description of Service

Elevex AMC is a Software as a Service (SaaS) platform that provides AMC (Annual Maintenance Contract) management solutions for elevator maintenance businesses. The service includes but is not limited to:

• Contract management and tracking
• User and technician management
• Service scheduling and reminders
• Report generation and analytics
• Customer feedback collection
• Data storage and backup

3. User Accounts and Registration

3.1 Account Creation

To use Elevex AMC, you must:

• Register for an account by providing accurate and complete information
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to bind your organization to these Terms
• Choose a subscription plan that suits your needs

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring all users within your organization comply with these Terms

3.3 Account Information

You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts with false, misleading, or incomplete information.

4. Subscription and Payment

4.1 Subscription Plans

Elevex AMC offers multiple subscription plans:

• Basic (Free): Limited features for small operations
• Professional: Enhanced features for growing businesses
• Business: Advanced features for established companies
• Enterprise: Full features with custom integrations

4.2 Payment Terms

• Subscription fees are billed in advance on a monthly or yearly basis
• All payments are processed through Razorpay payment gateway
• Prices are stated in Indian Rupees (INR) and include applicable taxes
• Payment is due immediately upon subscription or renewal
• We reserve the right to change subscription fees with 30 days notice

4.3 Refund Policy

• Refunds are provided on a case-by-case basis within 7 days of purchase
• No refunds for partial subscription periods
• Free trial users are not eligible for refunds
• Contact our support team to request a refund

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee.

5. Service Usage

5.1 Acceptable Use

You agree to use Elevex AMC only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use the service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble the software
• Resell or redistribute the service without authorization

5.2 Usage Limits

Your subscription plan includes specific usage limits (number of users, contracts, storage, etc.). Exceeding these limits may result in additional charges or the need to upgrade your plan.

6. Data Ownership and Protection

6.1 Your Data

You retain all rights, title, and interest in and to your data. We claim no ownership rights over the content you upload or create using our service.

6.2 Our Rights

You grant us a limited license to:

• Store, process, and display your data to provide the service
• Create backups for data protection purposes
• Use aggregated, anonymized data for analytics and service improvement

6.3 Data Backup

While we perform regular automated backups, you are responsible for maintaining your own backup copies of critical data. We are not liable for any data loss.

7. Intellectual Property

The Elevex AMC software, including all code, features, functionality, design, and content, is owned by Ambivare Solutions and is protected by international copyright, trademark, and other intellectual property laws.

8. Service Availability and Support

8.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8.2 Support

Support is provided based on your subscription plan:

• Basic: Community support via email
• Professional: Email support with priority response
• Business: Email and phone support with faster response times
• Enterprise: Dedicated account manager and 24/7 support

9. Modifications to Service

We reserve the right to:

• Modify, update, or discontinue features at any time
• Implement new features or functionality
• Change the service architecture or infrastructure

We will make reasonable efforts to notify users of significant changes in advance.

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.

10.2 By Us

We may suspend or terminate your account if:

• You violate these Terms and Conditions
• Your payment fails or account is past due
• We are required to do so by law
• Continuing to provide service creates risk for us or other users

10.3 Effect of Termination

Upon termination:

• Your access to the service will be immediately suspended
• You will have 30 days to export your data
• We may delete your data after 30 days
• You remain liable for any outstanding fees

11. Limitation of Liability

To the maximum extent permitted by law:

• Elevex AMC is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid in the 12 months preceding the claim
• We are not responsible for third-party services or integrations

12. Indemnification

You agree to indemnify and hold harmless Ambivare Solutions, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of Elevex AMC
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or create using our service

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of Elevex AMC shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

13.3 Arbitration

Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiation and, if necessary, mediation.

14. Changes to Terms

We may update these Terms and Conditions from time to time. When we do:

• We will post the updated Terms on our website
• We will update the "Last Updated" date
• We will notify users of material changes via email or in-app notification
• Continued use of the service after changes constitutes acceptance

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ambivare Solutions regarding Elevex AMC and supersede all prior agreements and understandings.
